These terms and conditions apply when you visit or use our websites, forms, tools, and other services, including events, that refer or link to these terms and conditions (each, a “Service” and collectively, the “Platform”). These terms and conditions may be supplemented by additional terms and conditions statements or notices provided to you.
By using the Platform, you agree to be bound by these Terms and Conditions (this “Terms of Service” or “Agreement”), whether or not you register as a member (“Member”). If you wish to become a Member and/or make use of the Platform, please read this Agreement carefully as it contains important information regarding your legal rights, remedies and obligations, including various limitations and exclusions, and a dispute resolution clause that governs how disputes will be resolved. If you object to anything in this Agreement or our Privacy Policy, DO NOT USE the Platform.
USE OF THE PLATFORM IS NOT FOR INDIVIDUAL MENTAL HEALTH CARE OR EMERGENCIES. IF YOU HAVE A MEDICAL OR MENTAL HEALTH EMERGENCY, OR IF AT ANY TIME YOU ARE CONCERNED ABOUT YOUR MENTAL HEALTH, CALL 911 OR GO TO THE NEAREST OPEN CLINIC OR EMERGENCY ROOM.
IF YOU ARE CONSIDERING OR CONTEMPLATING HARMING OR KILLING YOURSELF OR ARE CONCERNED THAT YOU ARE A DANGER TO YOURSELF OR TO OTHERS, DISCONTINUE USE OF THE PLATFORM IMMEDIATELY, CALL 911 OR GO TO THE NEAREST OPEN CLINIC OR EMERGENCY ROOM.
Electronic Agreement
This Agreement is an electronic contract that sets out the legally binding terms of your use of the Platform. This Agreement is subject to change at any time, effective upon posting on the relevant website. By accessing and/or using the Platform or becoming a Member, you accept this Agreement and agree to the terms, conditions and notices contained or referenced herein. Your continued use of the Platform following MEUS posting of revised terms of any section of the Agreement will constitute your express and binding acceptance of and consent to the revised Agreement.
Access and Retention
In order to access and retain this electronic Agreement, you must have access to the Internet, either directly or through devices that access web-based content, and pay any service fees associated with such access. In addition, you must use all equipment necessary to make such connection to the World Wide Web, including a computer and modem or other access device. Please print a copy of this document for your records. To retain an electronic copy of this Agreement, you may save it into any word processing program.
Commercial Use of Service
If you are using the Service and/or accessing the Platform on behalf of a company, entity, or organization (collectively, a “Subscribing Entity”), you represent and warrant that:
- You are an authorized representative of the Subscribing Entity, and that you have the authority to bind the Subscribing Entity to this Terms of Service;
- You have read and understand this Terms of Service; and
- You agree to this Terms of Service on behalf of the Subscribing Entity.
Platform Usage
- You may not browse or download illegal content.
- You must not copy or capture, or attempt to copy or capture, any content from the Platform (the “Content”) or any part of the Platform, unless given express permission by MEUS.
- You must not copy, republish, adapt, make available or otherwise communicate to the public, display, perform, transfer, share, distribute or otherwise use or exploit any Content on or from the Platform.
- You must not use any Content in any way that is designed to create a separate content service or that replicates any part of the Platform’ offering.
- You must not employ scraping or similar techniques to aggregate, repurpose, republish or otherwise make use of any Content.
- You must not employ the use of bots, botnets, scripts, apps, plugins, extensions or other automated means to register accounts, log-in, post comments, or otherwise to act on your behalf, particularly where such activity occurs in a multiple or repetitive fashion. You must not offer or promote the availability of any such techniques or services to any other users of the Platform.
- You must not alter or remove, or attempt to alter or remove, any trademark, copyright or other proprietary or legal notices contained in, or appearing on, the Platform or any Content appearing on the Platform.
- You must not, and must not permit any third party to, copy or adapt the object code of the Platform, or reverse engineer, reverse assemble, decompile, modify or attempt to discover any source or object code of any part of the Platform, or circumvent or attempt to circumvent or copy any copy protection mechanism or access any rights management information pertaining to Content.
- You must not use the Platform to upload, post, store, transmit, display, copy, distribute, promote, make available or otherwise communicate to the public:
- any Content that is offensive, abusive, libelous, defamatory, obscene, racist, sexually explicit, ethnically or culturally offensive, indecent, that promotes violence, terrorism, or illegal acts, incites hatred on grounds of race, gender, religion or sexual orientation, or is otherwise objectionable in MEUS’s sole and reasonable discretion;
- any information, Content or other material that violates, plagiarizes, misappropriates or infringes the rights of third parties including, without limitation, copyright, trademark rights, rights of privacy or publicity, confidential information or any other right; or
any Content that violates, breaches or is contrary to any law, rule, regulation, court order or is otherwise is illegal or unlawful in MEUS’s sole and reasonable opinion; - any material of any kind that contains any virus, Trojan horse, spyware, adware, malware, bot, time bomb, worm, or other harmful or malicious component, which will or might overburden, impair or disrupt the Platform or servers or networks forming part of, or connected to, the Platform, or which does or might restrict or inhibit any other user’s use and enjoyment of the Platform; or
- any unsolicited or unauthorized advertising, promotional messages, spam or any other form of solicitation.
- You must not commit or engage in, or encourage, induce, solicit or promote, any conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any law or regulation.
- You must not rent, sell or lease access to the Platform, or any Content on the Platform.
- You must not deliberately impersonate any person or entity or otherwise misrepresent your affiliation with a person or entity, for example, by registering an account or using Platforms forms, tools, or surveys in the name of another person or company, or sending messages or making comments using the name of another person.
- You must not stalk, exploit, threaten, abuse or otherwise harass another user, or any MEUS’s employee. If we feel that your behavior towards any of our employees is at any time threatening or offensive, we reserve the right to immediately terminate your subscription or membership.
- You must not sell or transfer, or offer to sell or transfer, any Platform account to any third party without the prior written approval of MEUS.
- You must not collect or attempt to collect personal data, or any other kind of information about other users, including without limitation, through spidering or any form of scraping.
- You must not violate, circumvent or attempt to violate or circumvent any data security measures employed by MEUS; access or attempt to access data or materials which are not intended for your use; log into, or attempt to log into, a server or account which you are not authorized to access; attempt to scan or test the vulnerability of Platform’s servers, system or network or attempt to breach Platform’s data security or authentication procedures; attempt to interfere with the Platform by any means including, without limitation, hacking Platform’s servers or systems, submitting a virus, overloading, mail-bombing or crashing. Without limitation to any other rights or remedies of MEUS under these Terms of Service, MEUS reserves the right to investigate any situation that appears to involve any of the above, and may report such matters to, and cooperate with, appropriate law enforcement authorities in prosecuting any users who have participated in any such violations.
You agree to comply with the above conditions, and acknowledge and agree that MEUS has the right, in its sole discretion, to terminate your account or take such other action as we see fit if you breach any of the above conditions or any of the other terms of these Terms of Service. This may include taking court action and/or reporting offending users to the relevant authorities.
Termination of Subscription and/or Membership
This Agreement will remain in full force and effect while you use the Platform. You may terminate your membership and/or subscription at any time by contacting us at members@withmeus.com. If you resign or cancel your membership and/or subscription to the Platform, to help the Platform analyze and improve the Platform, you may be asked to provide a reason for your resignation/cancellation. MEUS may terminate your membership and/or subscription for any reason by sending notice to you at the email address you provide in your application for membership, or such other email address as you may later provide to us. If MEUS terminates your membership in the Platform because you have breached this Agreement, you will not be entitled to any refunds. All decisions regarding the termination of accounts shall be made in the sole discretion of MEUS. MEUS is not required to provide you notice prior to terminating your membership and/or subscription. MEUS is not required, and may be prohibited, from disclosing a reason for the termination of your account. Even after your membership or subscription is terminated, this Agreement will remain in effect. All terms that by their nature may survive termination of this Agreement shall be deemed to survive such termination.
Modifications to Service
MEUS reserves the right at any time to modify or discontinue, temporarily or permanently, the Platform (or any part thereof) with or without notice. You agree that MEUS shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Platform.
Blocking of IP Addresses
In order to protect the integrity of the Platform, MEUS reserves the right at any time in its sole discretion to block users and/or Members from certain IP addresses from accessing the Platform.
Limitation of Liability
In no event shall MEUS be liable for any damages whatsoever, whether direct, indirect, general, special, compensatory, consequential, and/or incidental, arising out of or relating to the Platform, or use thereof. Nothing contained in the Platform or in any written or oral communications from MEUS or its employees or agents shall be construed to make any promise, covenant, or guaranty, all of which are explicitly disclaimed hereby, contrary to the statements and disclaimers contained in this paragraph.
We cannot and do not guarantee any results from use of the Platform. We shall not have any responsibility or liability for any losses or damages that You may incur as a result of any use of the Platform.
We may provide links to third party websites, and some of the content appearing on the Platform may be supplied by third parties. MEUS has no responsibility for these third-party websites nor for their content (“Links” or “Websites”), which is subject to and governed by the Terms of Service and/or privacy policies, if any, of the applicable third-party content providers. The Platform may contain third-party content and Links to third-party Websites. MEUS and its partners, officers, directors, employees, agents, licensors, and their respective successors and assigns do not have any liability or responsibility for such Links or Websites. We may remove any Link to the Platform without notice. Upon the request of MEUS, you agree to remove any Link to the Platform you may have acquired or stored.
Any resources which may include referrals to professional service providers or peer support workers are mere referrals to third parties, and as such are not the employees or agents of MEUS and are not credentialed by us. We do not have any oversight of the care provided to you if you should choose to receive care from any such providers. Any third-party provider is an independent practitioner who is solely responsible for any health care, social, or psychotherapy services provided to you, and is also solely responsible for obtaining your informed consent, where required.
While the Platform may provide access to certain general information, the Platform cannot and is not intended to provide individual professional advice to users. Always seek the advice of a regulated professional with any questions regarding your personal conditions. Do not ever disregard, avoid, or delay obtaining professional advice from a regulated professional because of something you have read on the Platform or any associated Website. If you have or suspect that you have a mental health or other medical issue, please contact a physician or other health professional immediately.
We are unable to guarantee the timeliness, appropriateness, or accuracy of any information provided through the Platform. The Platform is not intended as a substitute for obtaining medical advice from your doctor or other healthcare professional. In the case of an emergency or any suspected serious medical condition or ailment, please contact a trusted, local healthcare professional immediately and do not rely on the Platform for mental health advice.
We provide the Platform using a commercially reasonable level of skill and care. Other than as expressly set out in this Terms of Service or additional terms provided at the time you access the Platform, we do not provide any warranties about the Platform or associated Website.
As with any other website or app you use, when you access the Platform, you assume all risk associated with any viruses, worms, Trojan horses and other destructive items. You should take any necessary precautions before you access the Platform in respect of any such potential risks.
To the maximum extent permitted by applicable law, MEUS and its officers, directors, employees, agents, licensors and their respective successors and assigns will not be liable for any damages of any kind, including damages:
- Caused by the user’s failure to seek out appropriate medical treatment, including but not limited to personal injury, wrongful death, improper treatment or inaccurate information; or
- any indirect, special, incidental or consequential damages; or
- any loss of income, business, actual or anticipated profits, opportunity, goodwill or reputation (whether direct or indirect); or
- any damage to or corruption of data (whether direct or indirect); or
- any claim, damage or loss (whether direct or indirect) arising from or relating to your inability to use the Platform; or
- any claim, damage or loss (whether direct or indirect) arising from or relating to:
- any product or service provided by a third party under their own terms of service; or
- use of any third-party technology; or
- use of any third-party website; or,
- Any other losses which may be incurred in connection with the user’s use, misuse or reliance on the Platform or content offered through or in conjunction with the Platform, the User’s inability to use the Platform, ANY LOSS OF DATA REGARDLESS OF THE CAUSE AND WHETHER ARISING IN CONTRACT (INCLUDING FUNDAMENTAL BREACH), TORT (INCLUDING NEGLIGENCE), OR OTHERWISE.
Such limitation shall be applicable even if we knew or ought to have known of the possibility of any such damages.
TO THE GREATEST EXTENT PERMITTED BY LAW, YOU AGREE THAT IN NO EVENT WILL MEUS HAVE ANY LIABILITY, CONTINGENT OR OTHERWISE, FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES IN ANY WAY.
ARISING OUT OF OR RELATING TO THE AGREEMENT OR THE PLATFORM, INCLUDING, BUT NOT LIMITED TO LOST PROFITS; LOST DATA; LOSS OF GOODWILL; COPYRIGHT, TRADEMARK, OR OTHER INTELLECTUAL PROPERTY INFRINGEMENT; WORK STOPPAGE; EQUIPMENT FAILURE OR MALFUNCTION; ILLEGAL, IMMORAL OR FRAUDULENT ACTIVITY; PERSONAL INJURY; PROPERTY DAMAGE; OR ANY OTHER DAMAGES OR LOSSES, EVEN IF MEUS HAS BEEN ADVISED OF THE POSSIBILITY THEREOF, AND REGARDLESS OF THE LEGAL OR EQUITABLE THEORY (CONTRACT, TORT, STATUTE, INDEMNITY OR OTHERWISE) UPON WHICH SUCH LIABILITY IS BASED.
Content and Proprietary Rights
MEUS retains all proprietary rights in the Platform. The Platform contains the copyrighted material, trademarks, and other proprietary information of MEUS, and its licensors. Except where we have given you express written permission, you may not copy, modify, publish, transmit, distribute, perform, display, or sell any such proprietary information. All content on the Platform is proprietary. Except where otherwise specified in this Agreement, all Content is copyrighted material of the Platform and for the Platform’s Members’ use only. Distribution of Content to others is strictly prohibited. You agree that MEUS would be irreparably harmed by any violation or threatened violation of this section and that, therefore, MEUS shall be entitled to an injunction prohibiting you from any violation or threatened violation of this section, without posting bond, in addition to any other right or remedy it may have.
You acknowledge that the Platform contains images, text, and other content (collectively, “Intellectual Property”) that is protected by copyrights, patents, trademarks, trade secrets and/or other proprietary rights, and that these rights are valid and protected in all forms, media and technologies existing now or hereafter developed. All Intellectual Property is copyrighted under the copyright laws, and MEUS owns a copyright in the selection, coordination, arrangement and enhancement of such Intellectual Property. All trademarks appearing on this Platform are trademarks of their respective owners. You may not modify, publish, transmit, distribute, perform, participate in the transfer or sale, create derivative works of, or in any way exploit, any of the Intellectual Property, in whole or in part. When Intellectual Property is downloaded to your computer, you do not obtain any ownership interest in such Intellectual Property. Modification of the Intellectual Property or use of the Intellectual Property for any other purpose, including, but not limited to, use of any Intellectual Property in printed form or on any other website or networked computer environment is strictly prohibited unless you receive our prior written consent.
All rights, titles, and interests in and to the Platform (including all the data provided by you) are and will remain the exclusive property of MEUS. Nothing in this Agreement gives you a right to use the MEUS name or any other MEUS trademarks, logos, domain names and other distinctive brand features. Any feedback, comments, or suggestions you may provide regarding the Platform is entirely voluntary and MEUS shall be free to use such feedback, comments or suggestions without any obligation to you. MEUS may grant a personal, worldwide, royalty-free, non-assignable and non-exclusive license to use the Platform. This license is for the sole purpose of enabling you to use the Platform as provided by MEUS, in the manner permitted by This Terms of Service.
Copyright Policy
For any claim of copyright infringement, you hereby agree that notifications of claimed copyright infringement be sent by certified mail to:

If you believe that your intellectual property right (or such a right that you are responsible for enforcing) is infringed by any content on the Platform, please write to MEUS at the address shown above, giving a written statement that contains:
- identification of the copyrighted work and/or intellectual property right claimed to have been infringed;
- identification of the allegedly infringing material on the Platform that is requested to be removed;
- your name, address, and daytime telephone number, and an e-mail address if available;
- a statement that you have a good faith belief that the use of the copyrighted work and/or exercise of the intellectual property right is not authorized by the owner, its agent, or the law;
- a statement that the information in the notification is accurate, and, under penalty of perjury, that the signatory is authorized to act on behalf of the owner of the right that is allegedly infringed; and
- the signature of the intellectual property right owner or someone authorized on the owner’s behalf to assert infringement of the right.
MEUS will process any notice of alleged infringement which it receives and will take appropriate action as required by applicable copyright law.
Indemnification
You agree to indemnify, defend, and hold harmless MEUS, and its officers, directors, employees, agents, licensors, and their respective successors and assigns, from and against any and all claims, demands, liabilities, costs, or expenses whatsoever, including, without limitation, legal fees and disbursements, resulting directly or indirectly from your breach of this Terms of Service or misuse of the Platform.
Attorney Fees
In the event that MEUS is successful in whole or in part in any action or proceeding related to or arising from this Agreement, you shall be responsible for MEUS’s attorneys’ fees and costs.
Parental or Guardian Permission
The Platform is online and open to the public. You must be over the age of 19 or over the age of majority based on your location if it is higher than 19 to use the Platform. CHILDREN UNDER THE AGE OF 19 ARE NOT PERMITTED TO USE THE PLATFORM.
Privacy
Use of the Platform is also governed by our Privacy Policy.
General Provisions
Use of the Platform is unauthorized in any jurisdiction where the Platform or any of the Content may violate any laws or regulations. You agree not to access or use the Platform in such jurisdictions. You agree that you are responsible for compliance with all applicable laws or regulations. Any contravention of this provision (or any provision of this Agreement) is entirely at your own risk.
The user acknowledges and agrees that no agency, partnership, joint venture, employer-employee or franchisor-franchisee relationship is intended or formed by this Agreement or by your use of the Platform.
The failure of MEUS to enforce any right or provision of this Terms of Service will not be deemed a waiver of such right or provision. In the event that any provision of this Terms of Service is held to be invalid or unenforceable, the remaining provisions of this Terms of Service will remain in full force and effect.
Any provision of this Terms of Service which is unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions and any such prohibition or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.
When you access the Platform through a mobile network, your network provider’s messaging, data and other rates and fees will apply and you will be responsible for all such charges. The Platform may not properly work as intended with your network provider or mobile device.
This Agreement and any rights, licenses and privileges granted by this Terms of Service, may not be transferred or assigned by you, but may be assigned or transferred by MEUS without restriction and without notice to you.
This Agreement shall endure to the benefit of and be binding upon the parties hereto and their respective successors and permitted assigns.
You agree that, except as otherwise expressly provided in this Agreement, there shall be no third party beneficiaries to this Agreement.
The insertion of headings are for convenience of reference only and do not affect the construction or interpretation of these Terms.
This Agreement and our Privacy Policy and any guidelines provided by MEUS on use of the Platform from time to time constitute the entire Agreement between you and MEUS relating to your access to and use of the Platform.
Unless the applicable laws of your jurisdiction require that the laws of your jurisdiction govern, this Terms of Service shall be governed by and construed in accordance with the laws of Canada applicable therein, and any dispute is to be submitted to a court of competent jurisdiction in the judicial district of the Province of British Columbia, Canada.
The parties have agreed that this contract and all related documents be drafted in English.
